Azure Marketplace Ready1. Scope of Agreement
This MSA governs the relationship between NorthStar Medical ApS and the Subscriber for the deployment of Clinical Inference Hubs. This is a binding commitment aligned with the Microsoft Standard Contract for Marketplace.
2. Financial Responsibility
Subscriber agrees to pay all baseline infrastructure fees and metered overages. The agreed Performance Recovery Fee (up to 40% as defined by the accepted Azure Private Offer) is automatically authorized for all successfully reconstructed and recovered claims as defined in the Service Order.
3. Data Integrity & HIPAA
Subscriber is responsible for the accuracy of all clinical data submitted. NorthStar Medical ApS operates as a Business Associate under HIPAA guidelines.
4. Sovereign Sub-Tenant Policy
Partners on the Sovereign Distro tier are authorized to provision Unlimited Sub-Tenants. Partners assume full legal and operational responsibility for the KYC compliance and BAA execution of their respective sub-tenants. NorthStar Medical ApS remains the silent infrastructure provider.
5. Liability Shielding
NORTHSTAR MEDICAL APS PROVIDES INFRASTRUCTURE ONLY. WE ARE NOT RESPONSIBLE FOR PAYER DENIALS, AUDITS, OR RECOUPMENTS. SUBSCRIBER INDEMNIFIES NORTHSTAR MEDICAL APS AGAINST ALL THIRD-PARTY CLAIMS.
